On FY2026 guidance of 9.9% adjusted operating margin on $1.99B revenue, taxed at 25%, the forward multiple is 14.1x.
- Leverage. Net debt / normalised EBITDA (TTM D&A $23.9M) = 2.26x. The $550M 4.0% senior notes mature 2029-08-15 and the revolver 2030-09-24, and the company was in compliance with all covenants at July 4, 2026 (10-Q, Financing Arrangements).
- Is the growth sustainable? Organic, cash-backed (TTM operating cash flow $182.6M against $7.6M capex), guided up twice this year: EPS guidance moved $1.31-1.46, then $1.39-1.54 (8-K 2026-05-14), then $1.48-1.58 (8-K 2026-08-13). But it is two brands: Merrell plus Saucony were $334.1M of $506.4M Q2 revenue, 66% of the company.
- What the screen got wrong. It tagged net debt at $388.6M from LongTermDebtNoncurrent alone and missed the $54.0M drawn revolver, so EV was $54M light. And its normalised EBIT of $150.2M is FY2025, a 53-week year now two quarters stale, against TTM $169.7M and guidance implying about $189M GAAP. The screen's 18.1x was too harsh by roughly two turns. Nothing is hiding: impairment was genuinely zero in FY2025 and artifact_flag is correctly false.
1. What the business actually does
Wolverine designs, sources and markets footwear and apparel in about 170 countries and manufactures nothing itself (10-K, Item 1). Active Group (Merrell, Saucony, Sweaty Betty, Chaco) was $1,407.8M of FY2025 revenue at an 18.0% segment operating margin; Work Group (Wolverine, Cat, Bates, Harley-Davidson, HYTEST) was $422.2M at 17.2%. The Cat licence runs through 2028-12-31 and Harley-Davidson through 2029-12-31. About 52.2% of FY2025 revenue was international.
2. Why it might be mispriced, honestly
There is no clean edge case, and that caps the verdict at WATCH. This is an NYSE-listed $1.6B company with sell-side coverage, not an orphan. One item sits outside the numbers: the Supreme Court ruled IEEPA tariffs unauthorised on 2026-02-20, Wolverine had paid $35.9M, has filed $34.0M of claims and received $6.9M of cash from 2026-07-20, but recognises nothing under ASC 450-30 and excludes it from guidance (10-Q, Known Trends; 8-K 2026-08-13). That leaves about $27M of claimed cash, $0.33 a share or 2% of market cap. Small. Otherwise this is only a de-rating the fundamentals have moved past: the stock is 35.5% below its 52-week high and 12-month momentum excluding the last month is -39.3%, while the last six months returned +21.5% (universe_v2.csv). The sellers are momentum and index holders who left in the 2025 tariff panic, plus insiders. A re-rating story, not a misunderstanding.
3. Unit economics and growth
FY2025 gross margin was 47.3% against 44.3%, on product cost savings, full-price mix and price increases (10-K, Item 7). It has now turned down: Q2 2026 46.5% against 47.2%, H1 47.0% against 47.4%, on higher US tariffs (10-Q, Gross Margin). Operating margin still expanded, to 9.3% in Q2 from 8.6%, because operating expenses grew 2.6% on 6.8% revenue. Segment profit before corporate was $354.5M in FY2025, 18.9% of revenue, of which Corporate absorbed $204.3M. That overhead is where the earnings power sits and it is not shrinking fast: up $16.4M in FY2025, down $8.9M in H1 2026. TTM FCF of $175.0M flatters, because TTM capex of $7.6M is a third of D&A; normalised capex nearer $20M is the honest figure.
4. Balance sheet and capital allocation
Net debt fell 22.0% year over year to $443M. Dividends are $0.40 a year, $33.3M in FY2025, about 2.0% at this price. The buyback is off: no repurchases in H1 2026 or H1 2025 after $14.5M in FY2025 (10-Q, Liquidity), while diluted shares drift from 81.1M to a guided 82.0M. Insiders are net sellers: zero open-market purchases and 55,500 shares sold for $1,030,340 over twelve months, including director Boromisa at $18.14 on 2026-07-13 and again at $19.58 on 2026-09-01 (form4_last12m.csv). CEO Hufnagel holds 197,167 shares (Form 4, 2026-08-04), about $4.0M, against one year's equity grant worth up to $9.86M at maximum (DEF 14A, Grants note 1). Say-on-pay passed 96.6% for.
5. Management: said versus did
February guidance was $1.31-1.46 of EPS; it has been raised twice to $1.48-1.58, with the gross margin guide lifted from 46.0% to 46.4% to 46.9%. On tariffs management did what it said, taking price and extracting $4.3M of mitigation from sourcing partners in H1 (10-Q, Corporate). The gap is capital return: the filings repeat that excess cash goes to "organic growth initiatives, reduce debt, pay dividends" (10-Q), and the buyback has been dark for six quarters.
6. Valuation
Base (50%): FY2027 revenue $2.10B, adjusted operating margin 10.3%, 14x EV on after-tax operating profit, net debt $390M, gives $22.80, plus $0.33 of refunds, so $23.13. Bear (25%): consumer softens or tariffs return under another authority, revenue $1.95B, margin back to 8.5%, 11x, net debt $470M, gives $10.88. Bull (25%): Merrell and Saucony compound low double digits and corporate overhead stays flat, FY2028 revenue $2.35B, margin 11.5%, 15x, gives $33.02. Probability-weighted $22.54 against $20.05, about 12% upside plus the dividend. Reverse DCF: at a 9% cost of capital the current EV implies only 2.65% perpetual growth in after-tax operating profit, below the 5.6-6.7% revenue growth and 150bps of operating margin expansion guided for this year. The market prices stagnation and the company is not stagnating, but 12% weighted upside is thin pay for a 2.3x-levered discretionary footwear business.
7. Catalysts and timeline
Q3 2026 results in early November test whether the second raise holds. Further CBP receipts against the $34.0M claimed land as realised gains as they arrive. FY2027 guidance in February 2027 shows whether adjusted operating margin pushes past 9.9%. A buyback restart would be the clearest signal. Cat licence renewal ahead of 2028-12-31 is a two-way risk.
8. Pre-registered kill criteria
- Reported gross margin below 46.0% for two consecutive quarters (Q2 2026: 46.5%; FY guide 46.9%).
- Active Group constant-currency revenue growth below 3% in any quarter (Q2 2026: +8.5%).
- Net debt above $550M at any quarter end (July 4, 2026: $443M).
- FY2027 guidance issued with adjusted operating margin at or below 9.9%, meaning the expansion has stopped.
9. Verdict and summary
WATCH, conviction 3. Wolverine is an improving business that the screen priced too pessimistically and that the market still prices for stagnation. The screen's 18.1x rested on a stale 53-week FY2025 operating profit and understated debt by the $54M drawn revolver; corrected, it trades at 16.2x TTM and 14.1x on its own guidance, with net debt down 22%, inventory down 17%, guidance raised twice this year, no maturities until 2029, and $27M of tariff refunds claimed but excluded from the accounts and the outlook. The reverse DCF says the price implies 2.65% perpetual growth against roughly 6% guided. What stops this being an IDEA is that none of it is secret and the margin of safety is thin: weighted value about $22.50 against $20.05, gross margin already turning down on tariffs, two brands at 66% of revenue, corporate overhead eating 58% of segment profit, insiders selling 55,500 shares and buying none, a buyback dark for six quarters. Wait for the Q3 print or a buyback restart.
