1. What the business actually does
N-able sells a subscription cybersecurity and IT management platform covering unified endpoint management, security operations and data protection. It does not sell to end businesses: it sells to managed service providers, VARs and distributors, who deploy it into roughly 500,000 businesses, mostly under 2,500 employees, and it names ConnectWise, Kaseya and NinjaOne as its closest competitors (10-K 2025, Item 1). Revenue was $511.4M in 2025, up 9.7%, half of it outside the United States and 99% subscription (10-K 2025, Item 7). It was spun out of SolarWinds in July 2021 and bought Adlumin, a security operations vendor, in November 2024.
2. Why it is mispriced — the edge case
This is a fallen-growth name where the fall is real, and the only structural edge is the ownership. Silver Lake holds 32.6% and Thoma Bravo 26.6%, together 59.2% of the vote, making N-able a controlled company (DEF 14A 2026, Beneficial Ownership; 10-K 2025, Item 1A). Those stakes date from the 2021 spin and sit in fund vintages long past their normal life. The sponsors hold registration rights that would make their shares freely tradable (same), so the overhang cuts both ways: a registered secondary hurts, a sale does not. One unusual detail: the departing Chief Revenue Officer's separation agreement entitles him to change-in-control consideration if a change in control is effective on or before December 31, 2026 (8-K/A 2026-07-24). That is a dated carve-out the parties bothered to negotiate, a hint rather than evidence, and I am not underwriting it.
Who is selling: generalist holders reacting to a growth rate that has halved, plus the August 10 disclosure of a revision of previously issued financial statements and a material weakness identified in Q2 2026 (10-Q Q2 2026, Overview; 8-K 2026-08-28, referencing a Form 10-K/A filed 2026-08-10). The 10-K/A is not in this bundle, so I cannot size the revision. That is a data gap, not a clean bill of health.
3. Unit economics and growth
Q2 2026 revenue was $138.2M, up 5.9% reported and 4.7% constant currency; ARR $544.5M, up 6.0%; non-GAAP gross margin 80.2%; adjusted EBITDA $39.9M, a 28.9% margin (Q2 2026 release). Net revenue retention improved to 106% for the twelve months ended June 30, 2026 from 102%, and customers with over $50,000 of ARR reached 2,706, up 6.5%, now 63% of ARR (10-Q Q2 2026, Item 2).
Two things are decelerating. ARR growth fell from 11.9% in 2025, which included Adlumin, to 6.0% in Q2 2026, guided to 4-5% for the year (10-K 2025, Item 7; Q2 2026 release). Q3 revenue is guided to $134.5-135.5M, a sequential decline from Q2 and about 3% year over year. The $562-565M ARR guide needs a heavy back half: ARR went from $539.7M at December 2025 to $544.5M at June 2026, so the guide requires $17.5-20.5M added in six months against $4.8M added in the first six.
Profit dollars went backwards before recovering. Adjusted EBITDA was $169.4M in 2024, $153.2M in 2025, guided to $158-161M in 2026 (10-K 2025, Item 1; Q2 2026 release); GAAP operating income fell from $82.4M to $36.8M (10-K 2025, Item 7). Cash generation is thinner than the screen shows: FY2025 operating cash flow was $93.2M against $29.0M of net investing outflow, about $63M of real free cash flow and an 8.2% yield, not 10%; the screen counts property capex and ignores roughly $12M a year of capitalized software. H1 2026 free cash flow was $27.2M, down from $31.0M, with property purchases rising to $11.5M from $7.1M (Q2 2026 release, unlevered FCF reconciliation).
4. Balance sheet and capital allocation
Cash was $115.8M and borrowings $392.3M net of issuance costs at June 30, 2026, so net debt of about $276.5M, roughly 1.7x guided 2026 adjusted EBITDA; cash interest was $13.4M in H1, and a new three-year $56.0M vendor minimum spend commitment adds about $19M a year (10-Q Q2 2026, Liquidity and Contractual Obligations). The term loan floats at SOFR plus 2.75%, and June 2026 added a $75M delayed draw facility for Adlumin deferred consideration, acquisitions and buybacks (8-K 2026-06-17).
The buyback is the tell. The $75M authorization dates from March 2025; $30.0M was spent in 2025 and $45.0M remained at June 30, 2026, so nothing was repurchased in H1 2026 (10-Q Q2 2026, Liquidity). On August 26 the board added $50M, taking availability to $95M, about 12% of the market cap (8-K 2026-08-28). Meanwhile shares outstanding rose about 1.0% year over year and stock compensation ran $48.4M in 2025, roughly 9.5% of revenue and more than all of GAAP operating income (10-K 2025, Item 7). Insiders made no open-market purchases in twelve months; all Form 4 activity is grants and tax withholding (Form 4 summary, 12m).
5. Management: what they said vs what they did
The CFO said the company intends "to be active with our share repurchase program" and called repurchasing at current levels "an attractive use of capital" (Q2 2026 release; 8-K 2026-08-28). Through June 30, 2026 it had bought nothing that year. The response to slowing growth has been a 6% workforce reduction approved July 20, 2026, costing $4-6M cash and saving $11-13M of cash compensation over twelve months, plus a new CRO (8-K 2026-08-10, Item 2.05; 8-K 2026-07-13). Those are the right actions, but 2025 was the year it spent $18.2M of transaction costs to buy growth that has since faded (10-K 2025, Item 7). Executive PSUs are 50% an adjusted ARR metric and 50% a cash profit metric (DEF 14A 2026).
6. Valuation
The debate is entirely about whether stock compensation is a cost. At $4.06 the $1.04B EV is 6.5x the midpoint of guided 2026 adjusted EBITDA; charge the $48M of stock compensation on top of roughly $34M of capex and capitalized software and $20M of cash taxes, and the same EV is about 18x true unlevered owner earnings. Reverse DCF: that EV against roughly $105M of pre-stock-compensation unlevered cash earnings implies a 10% unlevered cash yield, which at a 9% cost of capital prices in essentially zero real growth forever, so the price already discounts ARR growth decaying to nothing but gives no credit for stock compensation being real.
- Bear (30%): growth stalls to 2%, 2027 adjusted EBITDA $145M at 6.0x, net debt $285M. Equity $585M, $3.00 a share.
- Base (50%): ARR grows 5%, the cuts stick, 2027 adjusted EBITDA $165M at 8.0x, net debt $270M. Equity $1,050M, $5.53 a share.
- Bull (20%): sponsors monetize or growth reaccelerates to 8%, 2027 adjusted EBITDA $175M at 11.0x, net debt $265M. Equity $1,660M, $8.74 a share.
Probability weighted $5.42, about 34% above $4.06. Positive, but not a wide margin of safety on a levered asset with a fresh controls problem.
7. Catalysts and timeline
Q3 results in early November: whether ARR tracks the guide and whether repurchases started. The FY2026 10-K in February 2027: 2027 guidance and remediation of the material weakness. Sponsor action at any time, with December 31, 2026 the only dated marker.
8. Risks and pre-registered kill criteria
Risks: two private equity funds control 59.2% of the vote and can register and sell; customers face limited switching barriers (10-K 2025, Item 1A); larger competitors; floating-rate debt on 1.7x leverage.
- Total ARR below $560M at December 31, 2026, or Q4 2026 constant-currency ARR growth below 4%.
- Cumulative repurchases under the $95M authorization below $20M through the FY2026 10-K.
- FY2027 adjusted EBITDA guidance below $155M, meaning the 6% reduction in force did not drop through.
- The Q2 2026 material weakness still unremediated in the FY2026 10-K, or any further restatement.
9. Verdict and one-paragraph summary
WATCH, conviction 3. N-able is a genuinely recurring, 80% gross margin, 29% EBITDA margin security platform at 6.5x guided 2026 EBITDA with net revenue retention that improved to 106%, controlled by two aged private equity funds with every reason to want an exit. Three things stop it being an IDEA. The cash flow is thinner than it screens: about $63M of real free cash flow in 2025, an 8% yield rather than 10%, and it fell in H1 2026 as capex rose. Growth is still decelerating, with Q3 guided to a sequential revenue decline and the ARR guide needing four times the ARR added in the first half. And the Q2 2026 revision of previously issued financials and material weakness cannot be sized from these documents. The buyback is the cheapest test of management's stated conviction: $95M authorized, 12% of the market cap, against zero spent in H1 2026. If repurchases start and ARR lands inside the guide, this becomes an IDEA at a better-understood price.
