1. What the business actually does

Lovesac sells modular couches called Sactionals, 91.1% of fiscal 2026 net sales, plus Sacs beanbags at 6.1%, the StealthTech embedded sound system, and Snugg, a sofa platform launched May 2025 (10-K, Item 1). It sells direct through 281 owned showrooms, 70.2% of Q1 FY2027 sales, and its own website at 25.8% (10-Q, Item 2). It owns no factories: Sactionals are made across six Asian countries, Sacs by a single North Carolina manufacturer (10-K, Item 1A). It holds 55 U.S. utility patents on the coupling geometry, and repeat customers were 50.4% of fiscal 2026 transactions.

2. Why it is mispriced — the edge case

The screen's edge is insider buying, real but small. Three insiders bought 33,550 shares for $490,146 in twelve months, mostly director Andrew Heyer's 30,000 at $14.68 on 2026-06-18; director Vineet Mehra then sold 5,000 at $18.38 a month later, 25% higher (Form 4s). The stock is now roughly 20% above the buy prices and up about 40% in six months (screen row).

The bigger claim: $5.4 million of operating income on $697 million of sales is a trough. Adjusted EBITDA was $60.4 million in fiscal 2023 and $54.0 million in fiscal 2024 against $36.1 million in fiscal 2026 (DEF 14A, Pay Versus Performance), and the compression is mostly external. Fiscal 2026 gross margin fell 210 basis points to 56.4%, of which 180 was inbound transportation and tariff cost (10-K, Item 7), and Q1 FY2027 lost another 160 with 380 of them tariff and freight (10-Q, Item 2).

But the screen's 10.7% free cash flow yield is not repeatable: fiscal 2026 operating cash flow of $49.3 million came largely from inventory falling $124.3 million to $106.3 million, a roughly $18 million release the company calls a planned stock decrease (8-K 2026-03-26). Strip it out and free cash flow after $24.0 million of capex was nearer $7 million, a 3% yield.

3. Unit economics and growth

Fiscal 2026 net sales rose 2.4% to $697.1 million on 0.5% comparable sales, with 21 net new showrooms doing the work while internet sales fell 2.0% (10-K, Item 7). Q1 FY2027 sales were flat at $138.2 million with comps at negative 1.0% and both repeat and new customer counts down (10-Q, Item 2). Screen ROIC is 2.9%. Pricing power exists but is spent: Q1 product margin improved 330 basis points and all of it plus more went to freight and tariffs.

Seasonality decides the year, and on adjusted EBITDA the skew is total: fiscal 2026's first three quarters produced negative $13.6 million and the fourth produced $49.6 million (derived from FY2026 $36.072M and Q4 $49.648M, DEF 14A Appendix A). Fiscal 2027 is the same shape. Q1 lost $10.5 million and Q2 is guided between a $4 million loss and $2 million of income, so the last nine months must deliver $45.5 million to $56.5 million against $44.5 million a year earlier, an improvement of 2% to 27% (8-K 2026-06-11).

4. Balance sheet and capital allocation

Clean. Cash was $57.0 million at May 3, 2026, nothing drawn on the $40 million Wells Fargo revolver maturing July 2029 (10-Q, Item 2). Undiscounted lease obligations of $238.2 million are the real fixed cost behind the fleet (10-K, Item 7). The board added $40 million to the buyback in March 2026, leaving $51.7 million authorized, but repurchases are token: $6.0 million in fiscal 2026 and $2.4 million in Q1, and share count still rose over the quarter because grants exceeded buybacks. Officers and directors own only 718,063 shares outright, and Nelson's 330,244 options struck at $38.10 are far out of the money (DEF 14A).

5. Management: said versus did

Q1 beat the guidance set ten weeks earlier on both sales and adjusted EBITDA, and the year moved from $33-44 million to $35-46 million. A genuine if narrow beat and raise, with two things against it. CFO Keith Siegner resigned effective June 15, four days after signing that release and eleven weeks after citing "strong confidence in our business outlook" alongside the buyback expansion (8-Ks 2026-06-15, 2026-03-26). The company says this is unrelated to accounting matters or any disagreement; replacement Andrew Farag is a restructuring-advisory managing director who was Lovesac's interim controller in 2023-24. Separately, the CEO and President each took a $1.25 million discretionary bonus for fiscal 2026, a year net income fell 65% and the proxy's own table shows $100 invested in Lovesac worth $24 against $126 for the Russell 2000, the stated rationale being "gaps in realized pay versus target pay" (DEF 14A).

6. Valuation

Each case runs fiscal 2028 adjusted EBITDA on an EV/EBITDA multiple plus net cash. Base: $45 million at 6.0x plus $60 million of net cash, roughly $22.80 a share. Bear: $28 million at 4.5x plus $45 million, about $11.90, if comps stay negative and the new 15% Section 122 global tariff replaces the struck-down IEEPA duties (10-K, Item 1A). Bull: $60 million at 7.5x plus $70 million, about $36, if New Room and Sactionals on-shoring restore 200 basis points of gross margin. At 40/40/20 the probability-weighted value is roughly $21.10 against $16.69.

Reverse DCF: at a 10% discount rate and 3% terminal growth the $187.3 million enterprise value implies about $13 million of perpetual after-tax owner cash flow, which after roughly $22 million of capex, $8 million of stock compensation and $2 million of recurring "non-recurring" charges requires sustained adjusted EBITDA near $50 million, above the top of this year's guidance.

7. Catalysts and timeline

Q2 FY2027 results, due within roughly two weeks, carrying $3.6 million of IEEPA refunds. The high-end sectional launches later this fiscal year, domestic seat-insert production began this summer, and New Room launches early calendar 2027. Buyback capacity is $51.7 million, 21% of the market cap.

8. Kill criteria (pre-registered, observable)

  1. Comparable net sales negative in both Q2 and Q3 FY2027.
  2. Full-year FY2027 adjusted EBITDA guidance cut below $35 million, or Q2-through-Q4 tracking below last year's $44.5 million.
  3. Gross margin below 52.0% for two consecutive quarters, meaning tariff and freight cost is structural rather than annualizing out.
  4. Share count higher in the FY2027 10-K than 14.64 million despite $51.7 million authorized, or insider net selling above $1 million.

9. Verdict and summary

WATCH, conviction 3. Lovesac is a differentiated, patented, net-cash retailer at 4.6x the midpoint of its own fiscal 2027 adjusted EBITDA guidance, and its margin damage traces to tariffs and freight rather than to the brand. But the screen oversells it: the 10.7% free cash flow yield is mostly an $18 million inventory drawdown, real free cash flow was nearer $7 million, and guided net income of $5 to $12 million puts the stock at 21 to 49 times earnings after a 40% six-month run. The company earns its whole annual profit in one quarter, and this year's guide needs the remaining nine months to beat last year's by 2% to 27% while comps run negative 1.0%. Add a CFO who resigned four days after signing that raise, $2.5 million of discretionary bonuses in a year the stock lost three quarters of its indexed value, and a buyback that has not offset dilution, and $490,000 of insider buying is too thin a thread. Probability-weighted value near $21 is not margin of safety for a year decided in one unaudited quarter. Wait for the Q2 print.
